THIS DOCUMENT SETS FORTH THE TERMS OF USE ("TERMS OF USE") FOR THE SMART AUTO CHECK LTD.  WEBSITE WWW.SMARTAUTOCHECK.COM ("SITE"). PLEASE READ THESE TERMS OF USE CAREFULLY. BY USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, AND YOU ACKNOWLEDGE THAT YOU ARE A LEGAL ADULT AGE 18 OR OLDER. IF YOU DO NOT AGREE TO THESE TERMS OF USE, OR IF YOU ARE NOT A LEGAL ADULT AGE 18 OR OLDER, DO NOT USE THE SITE IN ANY MANNER.

1. Description of site: 

“Site” refers to this website, including all of its content and policies.  Smart Auto Check may change the Site, including these General Conditions of Services, at any time at is sole discretion and without prior notice.  All changes posted to the Site are effective immediately. 

2. Services Offered.

 Smart Auto Check provides vehicle inspection reports as requested by clients.  Smart Auto Check does not charge fees for access to the Site but may charge fees for use of Smart Auto Check products and/or services made available through the Site.  The purchase of any such products and/or services shall be subject to a separate agreement between the client and Smart Auto Check or between the client and any third party contacted through the Site.  In the event of a conflict between any of the terms and/or provisions of these General Conditions of Services and any Separate Agreement, the terms and provisions of the Separate Agreement shall control.  Smart Auto Check is not a party to any Separate Agreement that the client may enter into with a Third Party.

 Any listings of Third Parties on the Site, and/or the user’s ability to “click through” to another website from the Site, and/or the forwarding of any self-reported information that you provide to the Site to a Third Party, does not constitute a referral or recommendation by Smart Auto Check.  You use the information as well as the products and/or services provided by the Site and/or any Third Party at your own free will.  Smart Auto Check does not recommend, advice, or prefer that you use any particular Third Party.  Any Third Party that contacts you is solely responsible for its products and/or services and you agree that Smart Auto Check shall not be liable for any damages or costs of any type resulting from your use or purchase of any Third Party’s products and/or services. 
 
3. Arbitration:

 Site users and Smart Auto Check each consent to binding arbitration should a dispute, disagreement or claim arise from use of the Site or from product and/or services offered therein.  Client expressly waives any right to arbitrate a dispute as a class action and the right to a jury trial.  Client and Smart Auto Check will agree upon an arbitrator and its applicable rules from the Arbitration Association of Ontario, 234 Eglinton Avenue East, Suite 405 Toronto, Ontario, M4P 1K5. The arbitration hearing will be conducted in Toronto, Ontario.  If Client fails to select an arbitration organization within 30 days after notice from Smart Auto Check, Smart Auto Check may select the organization.  The arbitrator’s award is final and binding on all parties.
